1. Introduction

These terms and conditions govern the provision of services by Cranford Technology Services, hereinafter referred to as "we," "us," or "our," to you, the client.

2. Acceptance of Terms and Conditions

By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.

3. Scope of Services

We will provide technology services as specified in the service agreement between us and you. Any additional services required by you will be subject to separate terms and conditions.

4. Payment

All fees for the services will be specified in the service agreement between us and you. Payment is due upon completion of the services, unless otherwise agreed upon in writing. Late payments will incur interest at the rate of 20% per month.

5. Warranty

We warrant that the services we provide will be performed in a professional and workmanlike manner. However, we do not warrant that the services will be uninterrupted or error-free, and we will not be liable for any losses resulting from any such interruptions or errors.

6. Limitation of Liability

We will not be liable for any loss or damage to your data or information resulting from the provision of the services, whether in contract, tort, or otherwise. You acknowledge and agree that it is your responsibility to backup and protect your data and information.

7. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, damages, expenses, or liabilities arising from your use of the services, including any infringement of intellectual property rights or any breach of these terms and conditions.

8. Termination

Either party may terminate the service agreement upon written notice to the other party. In the event of termination, you will be liable for payment of all fees for services provided up to the date of termination.

9. Confidentiality

We will maintain the confidentiality of any information provided by you in connection with the services, and we will not disclose such information to any third party without your prior written consent.

10. Governing Law and Jurisdiction

These terms and conditions will be governed by and construed in accordance with the laws of the State of Georgia and any disputes arising from or in connection with the services will be subject to the exclusive jurisdiction of the courts of State of Georgia.

11. Entire Agreement

These terms and conditions constitute the entire agreement between us and you, and supersede all prior agreements, understandings, and negotiations between us.

12. Amendments

We may amend these terms and conditions at any time by providing you with written notice of such amendments. Your continued use of our services after such notice will be deemed acceptance of the amended terms and conditions.
